regardless of the form of action, shall be limited to and not to exceed the reimbursement by Dale Gottschalk. The agreement shall be governed
by and construed in accordance with the laws of the State of California. Any disputed matters shall be resolved in arbitration by the American
Chamber of Commerce in San Diego, California, in accordance with statutes of the Chamber. Decision by the Chamber of Commerce will be final
